Terms of Service

1. Acceptance of Terms

By accessing or using Woable's web application ("Dashboard"), Chrome browser extension ("Extension"), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Service after such notice constitutes acceptance of the revised Terms.

2. Description of Service

Woable is a browser-native productivity platform that enables teams to create, manage, and collaborate on tasks directly within the browser. The Service includes:

• Dashboard: A web-based project management interface with workspaces, projects, task boards (Kanban, List, and Calendar views), comments, mentions, notifications, and team member management.
• Chrome Extension: A browser companion that allows task creation, viewing, and management on any website, with URL capturing and domain-based task filtering.
• Collaboration Features: Real-time notifications, task assignment, @mentions in comments, workspace invitations, and role-based access controls.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your name and email address. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorized use of your account.

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Plans, Billing & Payments

Woable offers three tiers: Free, Startup, and Business. Paid plans are billed per seat on a monthly or yearly basis, with pricing displayed on our Pricing page at the time of purchase.

• Per-Seat Billing: Your subscription quantity is automatically adjusted based on the number of workspace members. For the Startup plan, guests are billed at a ratio of 4 guests per 1 seat. The Business plan includes unlimited guests at no additional cost.
• Proration: When seats are added or removed mid-cycle, your invoice is prorated automatically.
• Payment Processing: All payments are processed securely by our third-party payment provider, Lemon Squeezy. We do not store your credit card information on our servers.
• Cancellation: You may cancel your subscription at any time from your workspace settings. Upon cancellation, you retain access to paid features until the end of your current billing period.
• Refunds: Refunds are available provided the request is made within the applicable window: 3 days for monthly subscriptions and 14 days for yearly subscriptions. Upon a refund being processed, the workspace will be immediately downgraded to the Free plan. Please note that it may take up to 10 business days for the refunded amount to appear in your account, depending on your bank and payment provider.

5. Workspaces, Projects & Access Control

The Service provides a hierarchical access control system:

• Workspace Roles: Owner, Member, and Guest. Workspace Owners have full administrative control, including the ability to manage billing, invite members, and delete the workspace.
• Project Roles: Admin, Editor, Commenter, and Viewer. Project visibility can be set to Public, Private, or Shared.
• Invitations: Workspace and project invitations are sent via email and expire after a set period. You are responsible for ensuring that invitations are sent only to intended recipients.

As a Workspace Owner, you are responsible for the content created by your team members within your workspace.

6. Chrome Extension

The Woable Chrome Extension operates as a companion to the Dashboard and requires an active Woable account. By installing it, you acknowledge that:

• The Extension captures the URL and domain name of the active tab only when you explicitly create a task. It does not passively track your browsing history.
• You may configure domain-based filtering (whitelist or blacklist) to control which sites the Extension is active on.
• The Extension communicates with Woable's servers to sync tasks, projects, and user data. No data is shared with any other third party through the Extension.

7. User Content & Responsibilities

"User Content" includes task names, descriptions, comments, URLs, and any other data you input into the Service. You retain full ownership of your User Content. By using the Service, you grant Woable a limited license to store, display, and process your User Content solely for the purpose of providing the Service.

You agree not to use the Service to:

• Upload or share unlawful, harmful, or objectionable content.
• Impersonate any person or entity.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use automated tools, bots, or scrapers against the Service.

8. Intellectual Property

The Service, including its design, code, branding, and documentation, is the intellectual property of Woable and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code, except as permitted by law.

9. Service Availability & Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

10. Termination

You may delete your account at any time from your account settings. We may suspend or terminate your access if you violate these Terms or engage in conduct that we believe is harmful to other users or to the Service. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your User Content after a reasonable retention period (typically 30 days).
• Any outstanding billing obligations remain payable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOABLE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with applicable arbitration rules, or in the courts located in India.
